Payment Terms

Wise Systems Limited (trading as Wyze) whose registered address is 291 Green Lanes, London, England, N13 4XS

1. Defined Terms

Capitalised terms used in these Payment Terms have the meanings given in the End-User Licence Agreement (EULA) unless otherwise defined here.

1. Subscription Fees

2.1  The Fees payable for each Subscription Plan are set out in the Price Schedule or onboarding confirmation provided to the Customer.

2.2  All Fees are exclusive of VAT and other applicable taxes, which shall be charged in addition at the prevailing rate.

2.3  Fees are payable monthly or annually in advance, as indicated during registration or any subsequent upgrade.

1. Initial Term

3.1  The Customer agrees to a fixed Initial Term of twelve (12) months, commencing on the Commencement Date (as defined in the EULA).

3.2  The Fees for the selected Subscription Plan are locked for the duration of the Initial Term and may not be increased during this period.

1. Renewal

4.1  Upon expiry of the Initial Term, the subscription shall automatically renew for successive 12-month Renewal Terms, unless either party provides at least 30 days’ written notice prior to renewal.

4.2  For each Renewal Term, Wyze may adjust the Fees to reflect its then-current pricing, provided that Wyze gives the Customer not less than thirty (30) days’ written notice prior to the start of the applicable Renewal Term. The adjusted Fees shall apply from the commencement of that Renewal Term.

1. Upgrades, Additional Usage & Overage

5.1  If the Customer exceeds any usage parameters (e.g., number of authorised users, active properties or features), the Subscription Plan will automatically upgrade to the appropriate tier, and the new Fees will apply from the date the threshold was exceeded.

5.2  Upgrades take effect immediately; downgrades apply only at the start of the next Renewal Term.

1. Free Trials & Promotional Offers

6.1  Trial access does not incur Fees unless the Customer fails to cancel 24 hours before expiry.

6.2  Upon conversion, the Customer authorises Wyze to begin charging Fees automatically.

1. Payment Method & Billing

7.1  Payments will be taken via the Customer’s nominated payment method on a recurring basis.

7.2  If any payment fails, Wyze may suspend services until all outstanding sums are paid.

1. Early Termination Fees

8.1  If the Customer terminates the Agreement during the Initial Term or a Renewal Term (other than for Wyze’s uncured material breach), the Customer must pay all Fees remaining for the rest of that term.

8.2  These Fees become immediately due upon early termination.

1. Refunds

9.1  Except where expressly permitted under the EULA or required by law, Fees are non-refundable.

9.2  Refunds upon Supplier termination for convenience are as set out in the EULA.

10.  Precedence

If there is any conflict between these Payment Terms and the EULA, these Payment Terms shall take precedence.
